Lite-form terms for an early-stage sole proprietorship. Update with formal registration details (entity name, GSTIN once applicable) as Vaya Labs formalizes. Not a substitute for legal review, especially before larger or international contracts.
1. Who these terms cover
These terms apply to anyone engaging Vaya Labs ("we", "us") for services including Notion system builds, data reporting, automation, or related work described in a signed proposal or agreement ("Client", "you").
2. How engagements work
Every project starts with a written Estimate or Proposal outlining scope, timeline, and price
Work begins only after you accept the proposal and, where applicable, sign a Service Agreement
Any change to agreed scope may require a revised estimate
3. Payment terms
Standard terms: 50% advance to confirm the project, balance due on delivery, unless otherwise agreed in writing
Invoices are payable within the due date stated on the invoice
Late payments may pause active work until settled
Prices are quoted in INR or USD as stated on the estimate; bank/payment charges for international transfers are the client's responsibility unless agreed otherwise
4. Revisions
Each project includes a reasonable number of revisions as stated in the proposal. Requests beyond that are treated as new scope and estimated separately.
5. Intellectual property
Ownership of final deliverables (Notion systems, reports, dashboards, templates built specifically for you) transfers to you upon full payment
We retain the right to reuse general methods, frameworks, and non-client-specific components in future work
Unless you opt out in writing, we may reference the completed project (name, general description) in our portfolio; we will not share confidential project details or data
6. Confidentiality
We treat project details, data, and business information you share with us as confidential, and will not disclose them to third parties except as needed to deliver the project (see our Privacy Policy) or as required by law.
7. Cancellation
Either party may cancel an engagement with written notice. Advance payments cover work already completed or in progress and are non-refundable beyond that point; any unused advance for work not yet started will be refunded.
8. Liability
Our liability for any claim arising from a project is limited to the amount paid for that specific project. We are not liable for indirect or consequential losses.
9. Governing law
These terms are governed by the laws of India. Any disputes will be subject to the jurisdiction of the courts where Vaya Labs is based.
10. Changes to these terms
We may update these terms as the business grows. The version in effect at the time you sign a proposal/agreement governs that engagement.
